A contract review involves a lawyer reading through your contract with context in mind of your circumstances, and pointing out where there are any red flags, concerns and/or recommendations that you should consider before signing or otherwise agreeing to the contract.
Our lease contract review service is designed to give you a snapshot of the legal concerns relevant to your Lease Agreement. We are here to give you confidence to either proceed or to ask the right questions to ensure that your position is protected.
Our lawyers carry out detailed reviews and provide commentary in lay terminology in annotations within the document.
You can choose what to do with this advice: either you can ask us to amend the document, ask us for further advice and assistance in regard to negotiation strategy or you can use our comments to bolster your negotiation position with the other side. Either way, our snapshot will give you the valuable insights you need to move forward.
Although each Lease Agreement review is unique, and different aspects will be taken into account depending on your specific context, here are some common aspects that we might consider:
Lease Term: The start and end dates of the lease, along with any provisions for renewal or early termination.
Rent and Adjustments: The amount of rent, how it’s calculated, and any provisions for rent increases during the lease term. The method and timeline for payment should also be clear.
Operating Expenses and CAM Charges: The tenant’s responsibility for common area maintenance (CAM) costs, taxes, insurance, and utilities.
Leasehold Improvements: Whether the tenant is allowed to make improvements to the space, who will pay for those, and whether they need to be removed at the end of the lease.
Maintenance and Repairs: Who is responsible for the maintenance and repair of different parts of the property.
Security Deposit: The amount and conditions for the return of the security deposit.
Default and Remedies: Conditions that constitute a default, and the rights and remedies available to both parties in such an event.
Assignment and Subletting: Whether the tenant is allowed to assign the lease or sublet the space, and under what conditions.
Insurance: The types and amounts of insurance the tenant is required to carry.
Indemnity Clauses: Provisions related to liability and who would be responsible in case of property damage or personal injury.
Use of the Premises: Restrictions on how the tenant can use the space, any prohibited uses, and any exclusivity clauses.
Options: Any options to renew the lease, expand the space, or purchase the property.
Dispute Resolution: The process for resolving any disputes that might arise during the lease term.
Force Majeure: Provisions covering what happens if the lease cannot be fulfilled due to unforeseen circumstances like natural disasters, pandemics, etc.
Compliance with Laws: The tenant’s responsibility to comply with all relevant laws, including zoning laws and regulations.
Condition and Delivery of the Premises: The condition in which the space will be delivered to the tenant and returned to the landlord.
